Job Brief:
The Company Secretary will be responsible for ensuring the company complies with statutory and regulatory requirements, implementing decisions made by the Board of Directors, and ensuring effective corporate governance. This role involves managing company records and providing expert legal advice to senior management and the Board.

Primary Responsibilities :

Responsibilities:

  1. Corporate Governance:

    • Ensure adherence to legal standards and in-house policies.
    • Develop and manage systems to ensure compliance with applicable legal and regulatory requirements.
    • Provide legal, financial, and strategic advice to the Board, particularly concerning governance, legal, and regulatory issues.
  2. Board Meetings:

    • Schedule, organize, and attend Board meetings and General Meetings (AGM/EGM).
    • Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
    • Record minutes and maintain minute books.
    • Communicate decisions made by the Board effectively to relevant stakeholders.
  3. Statutory Compliance:

    • Ensure compliance with statutory obligations and regulatory requirements, particularly the Companies Act, SEBI regulations, and stock exchange listing rules.
    • File necessary statutory forms and returns with the Registrar of Companies (RoC) and other regulators.
    • Maintain statutory registers (e.g., members, directors, charges, and secretarial records).
  4. Legal & Compliance Management:

    • Advise the Board on legal and corporate responsibilities.
    • Oversee the company’s compliance framework, ensuring adherence to all relevant laws.
    • Liaise with external regulators, legal advisors, and auditors.
    • Ensure timely compliance with industry regulations and amendments to statutory laws.
  5. Secretarial Functions:

    • Maintain records of official documents, contracts, and licenses.
    • Assist in mergers, acquisitions, and corporate restructuring when required.
    • Ensure timely dissemination of information regarding company policies, procedures, and legal matters.
    • Safeguard the integrity of governance processes and decisions.
  6. Shareholder Communication:

    • Maintain regular communication with shareholders and handle their grievances.
    • Manage share issuances, dividends, and share transfers in accordance with statutory requirements.
    • Ensure timely and accurate reporting of company matters to shareholders and regulatory bodies.
  7. Risk Management:

    • Assist in identifying and mitigating legal, financial, and business risks.
    • Ensure the organization’s risk management framework is effectively implemented and monitored.

Key Requirements:

  • 3-5 years of experience as a Company Secretary in a listed company or large corporate organization.
  • Excellent knowledge of CSR transactions.
  • Preferred age: 28 to 35 years; Male candidates preferred.
  • In-depth knowledge of corporate law, securities law, and governance practices.
  • Strong understanding of regulatory compliance requirements.
  • Excellent organizational, communication, and interpersonal skills.
  • Ability to manage multiple responsibilities and work under pressure.
  • Proficiency in legal research and documentation.
  • Strong attention to detail and high standards of accuracy in work.
